For pair decades, corporate America has witnessed a dizzying array of merger acquisitions and divestitures. While this frenetic activity may near opportunity for investment bankers, it creates composite coverage problems for insurers in ascertaining who, if anyone, is entitled to obtain coverage subject to policies issued to corporations that have been bought sold merg with others, spun most distant or acquired.

Recently, the California predominant Court, in Henkel Corp. v Hartford Accident and Indemnity Co clarified in a less degree than what circumstances coverage from a policy issued to a corporation may pass to an acquiring corporation. In doing in such a manner the court distinguished an earlier appeals
