As I mention in this month's President's Notes, common of the key initiatives I've undertaken during the time I've proffered with the Institute is to review our governance processe Now that we've reviewed our objectives, revised our regulatory policies and processe and rewritten Council's governance policies, the last chapter remaining involves realigning the configuration of Council itself.

Early upon in the governance process, we decided Council was approximately the right size and that its regional representation was fundamental to our goals. We also believed, however, that certain issues undermined its continuity and renewal.

At the AGM forward June 12th, two bylaw changes will be bring forward before you that address these issues. popularly all Council members serve one-year times and there's no limit to their use Under this system there are two-albeit unlikely-risks that prudential governance should minimize.

The first is that all Council members could decline to scamper again and the Institute is unable to find enough candidates to replace them onward short notice. This situation would leave the Institute without leadership, a managing dead body or a governing structure in place. Despite its remotenes this risk is untenable. A critical aspect of worthy government is ensuring safe stewardship for the organization at all times.



The next to the first risk is the opposite of the first: that the same clump of Council members stay for years and years. Although members can always nominate just discovered candidates, a group of longstanding members upon Council could have the potential to form a voting arrest and sway decisions. New ideas, fresh people, and new skill risks are all critical to forward-looking strategic direction. At the same time, there's tremendous value in experience. We believe the propos bylaw allows for the two continuitybenefiting from the wisdom of experienced Council members-and renewal-bringing novel people into the strategic decision-making proces The sum of two units bylaws being brought to the AGM ask that membership endorse:

* A change in the spells of office of Council members from a one-year to a twoyear time There will be no change in regional representation, with at least single in kind member from each of the following areas: the Lower Mainland, Vancouver Island, the Interior, and the North.

* Setting a maximum of three consecutive word s of service for Council members After six years of service, members would be allowed to flow again after a two-year break from Council.

By passing these pair bylaws, the membership can make secure that its Council representatives provide continuous leadership.

Revised Council digest of Conduct

We also believe it's time to clarify the Council collection of laws of Conduct.

Council has codified the Council digest of Conduct to ensure that all Council members are held to high conflict of interest and confidentiality standards. The revised collection of laws of Conduct has been sent to all nominees and will have the direction of all Council members as our strange year begins on June 12 2002

I chance of a favorable result you agree that the changes outlined above will strengthen the continuity and renewal of our leadership, and continue to commit Council members to the highest ethical standards related to confidentiality and conflict of interest. These changes will strengthen our leadership abilities and make secure that future Councils continue to befitting the needs of members.
